Acceptance of Terms

By accessing or using any services, applications, websites, or application programming interfaces (collectively, the "Services") provided by ANED AI, a product of the The ANED Group ("ANED AI," "we," "us," or "our"), you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" shall include that organization.

If you do not agree to these Terms in their entirety, you must immediately discontinue all use of the Services. Your continued access to or use of the Services following the posting of any changes to these Terms constitutes your acceptance of those changes.

These Terms constitute a legally binding agreement between you and ANED AI. They govern your access to and use of all ANED AI models, tools, APIs, documentation, and any associated services or content we make available to you.

Description of Services

ANED AI develops and deploys advanced artificial intelligence models and platforms designed to serve the needs of individuals, businesses, governments, and institutions across Africa and globally. Our Services include, but are not limited to, the following AI models and associated capabilities:

ANED AI Model Family

• Kilima — Our foundational large language model, designed for general-purpose reasoning, text generation, summarization, translation, and conversational interaction. Kilima serves as the core intelligence layer powering a broad range of ANED AI products and integrations.
• Savanna — An advanced model optimized for enterprise knowledge management, document analysis, and business intelligence workflows. Savanna is built to process, interpret, and synthesize large volumes of structured and unstructured organizational data.
• Swala — A lightweight, high-efficiency model engineered for edge deployment, mobile applications, and resource-constrained environments. Swala delivers fast inference at reduced computational cost, making AI accessible in low-bandwidth and on-device scenarios.
• Tembo — Our large-scale model for complex multi-step reasoning, research-grade analysis, code generation, and advanced problem-solving tasks. Tembo is purpose-built for users who require deep analytical capabilities and extended context processing.
• Simba — A multimodal model capable of understanding and generating across text, image, audio, and structured data modalities. Simba is designed for creative applications, content production, accessibility solutions, and cross-modal understanding.

The Services may also include web-based interfaces, developer tools, software development kits (SDKs), hosted API endpoints, documentation, sample code, and supporting infrastructure. ANED AI reserves the right to modify, update, discontinue, or introduce new models and services at any time, with or without prior notice, subject to applicable law.

Certain features or models may be available only under specific subscription tiers, enterprise agreements, or access programs. Access to beta or experimental features does not guarantee their continued availability.

User Accounts

To access certain features of the Services, you may be required to create a user account. When registering for an account, you agree to:

• Provide accurate, current, and complete information during the registration process and maintain the accuracy of such information throughout the duration of your account.
• Create and maintain a strong, unique password and keep your login credentials confidential. You are solely responsible for all activities that occur under your account, whether or not authorized by you.
• Notify ANED AI immediately at ai@anedcenter.com if you become aware of or reasonably suspect any unauthorized access to or use of your account.
• Not share, transfer, sell, or assign your account credentials to any third party without our prior written consent.

ANED AI reserves the right to suspend or terminate any account that we reasonably believe has been compromised, is being used in violation of these Terms, or is associated with fraudulent or abusive activity. We may also require you to complete additional identity verification steps at our discretion.

Organizational accounts must designate an authorized administrator. The administrator assumes responsibility for managing access permissions and ensuring compliance with these Terms by all users operating under the organizational account.

Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. The following activities are strictly prohibited, and you shall not use the Services to:

• Generate, distribute, or facilitate content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable under applicable law.
• Develop, produce, or disseminate weapons, including biological, chemical, nuclear, or radiological weapons, or assist any person or entity in doing so.
• Generate deceptive content intended to mislead, defraud, or manipulate individuals, including but not limited to deepfakes, impersonation, synthetic media presented as authentic, or fraudulent communications.
• Conduct surveillance, profiling, or monitoring of individuals without their informed consent or in violation of applicable data protection and privacy laws.
• Engage in or facilitate unauthorized access to computer systems, networks, or data, including any attempt to probe, scan, or test the vulnerability of the Services or any related system.
• Circumvent, disable, or otherwise interfere with security-related features of the Services, including any features that prevent or restrict use or copying of any content.
• Use the Services to generate spam, unsolicited communications, or automated messages at scale in a manner that violates applicable anti-spam legislation.
• Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying algorithms, or model weights of any ANED AI model or system, except to the extent that such restriction is expressly prohibited by applicable law.
• Use outputs from the Services to train, fine-tune, distill, or otherwise improve competing AI models or systems without express written permission from ANED AI.
• Represent or imply that outputs generated by the Services are human-authored when disclosure of AI involvement is required by law, regulation, or professional standards.

ANED AI reserves the right to investigate and take appropriate action against any User who, in our sole discretion, violates this section, including without limitation removing content, suspending or terminating account access, and reporting the User to law enforcement authorities.

Intellectual Property

ANED AI Ownership

All rights, title, and interest in and to the Services, including but not limited to all software, models, model weights, algorithms, architectures, training methodologies, documentation, trademarks, trade names, logos, and visual designs, are and shall remain the exclusive property of ANED AI and its licensors. These Terms do not grant you any ownership interest in the Services, and no right or license is granted to you except as expressly set forth herein.

User Input

You retain all rights to the content, data, prompts, and other materials you submit to the Services ("Input"). By submitting Input, you grant ANED AI a non-exclusive, worldwide, royalty-free license to process such Input solely for the purpose of providing and improving the Services to you. ANED AI shall not use your Input to train or improve our general-purpose models without your explicit opt-in consent, except in anonymized and aggregated form as described in our Privacy Policy.

Output Ownership

Subject to your compliance with these Terms, ANED AI assigns to you all right, title, and interest in the outputs generated by the Services in response to your Input ("Output"), to the extent such outputs are protectable under applicable intellectual property law. You acknowledge that due to the nature of artificial intelligence, similar or identical outputs may be generated for other users who submit similar input, and ANED AI makes no guarantee of the uniqueness or exclusivity of any Output.

Feedback

If you provide ANED AI with suggestions, ideas, feature requests, or other feedback regarding the Services ("Feedback"), you grant ANED AI an irrevocable, perpetual, worldwide, royalty-free license to use, incorporate, and commercialize such Feedback without obligation or compensation to you.

API Usage

ANED AI provides application programming interfaces ("APIs") that enable you to integrate our models and capabilities into your own applications, products, and services. Your use of the APIs is subject to the following additional terms:

• API Keys and Authentication. You will be issued API keys or other credentials upon registration. API keys are confidential and must not be shared, published, embedded in client-side code, or otherwise exposed to unauthorized parties. You are responsible for all usage associated with your API keys.
• Rate Limits and Quotas. ANED AI may impose rate limits, request quotas, concurrency limits, and other usage restrictions on API access. These limits may vary by subscription tier and are subject to change. You agree not to circumvent or attempt to circumvent any imposed limits.
• Service Level Agreements. Specific uptime commitments and performance guarantees, if any, are governed by the terms of your applicable service level agreement ("SLA"). In the absence of a written SLA, ANED AI provides the APIs on an "as available" basis and does not guarantee uninterrupted or error-free access.
• Downstream Use. If you integrate the Services into products or services you offer to third parties ("Downstream Applications"), you are responsible for ensuring that your Downstream Applications comply with these Terms and all applicable laws. You must include appropriate terms of service in your Downstream Applications that are consistent with the restrictions in Section 4 (Acceptable Use).
• Attribution. Unless otherwise specified in a written agreement, you are not required to attribute ANED AI when using our APIs, but you must not represent the underlying AI capabilities as being your own proprietary technology in a manner that is misleading.
• Data Handling. Data transmitted through the API is handled in accordance with our Privacy Policy and any applicable data processing agreement. ANED AI processes API inputs and outputs as necessary to provide the Services and does not retain API data beyond what is necessary for operational purposes, unless you opt in to data retention for your own usage analytics.

Payment Terms

Certain features of the Services are available on a paid basis. By subscribing to a paid plan or purchasing credits, you agree to the following:

• Fees. You agree to pay all fees associated with your selected subscription tier or usage-based plan as published on the ANED AI pricing page or as set forth in your enterprise agreement. All fees are quoted in the applicable currency specified at the time of purchase.
• Billing Cycle. Subscription fees are billed in advance on a monthly or annual basis, depending on the plan you select. Usage-based charges are billed in arrears at the end of each billing cycle based on your actual consumption.
• Payment Methods. You must provide a valid payment method and authorize ANED AI or our designated payment processor to charge such payment method for all fees incurred. You are responsible for keeping your payment information current.
• Taxes. All fees are exclusive of applicable taxes, levies, and duties, including value-added tax (VAT) and withholding tax. You are responsible for paying all applicable taxes, except for taxes on ANED AI's net income.
• Late Payments. Overdue amounts may accrue interest at a rate of 1.5% per month or the maximum rate permitted by applicable law, whichever is lower. ANED AI reserves the right to suspend access to the Services for any account with outstanding overdue balances.
• Refunds. Fees paid are generally non-refundable except as required by applicable consumer protection law or as otherwise specified in your enterprise agreement. ANED AI may, at its sole discretion, issue credits or refunds on a case-by-case basis.
• Free Tiers and Trials. ANED AI may offer free tiers, promotional credits, or trial periods at its discretion. Such offers are subject to additional terms and may be modified or discontinued at any time.

Privacy

Your privacy is important to us. The collection, use, storage, and processing of your personal data in connection with the Services is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Services, you acknowledge and agree that:

• ANED AI collects and processes personal data as described in our Privacy Policy, including account information, usage data, technical data, and content you submit to the Services.
• We implement appropriate technical and organizational measures to protect your data against unauthorized access, alteration, disclosure, or destruction, in accordance with industry standards and applicable data protection legislation, including the Kenya Data Protection Act, 2019.
• For enterprise and API users, ANED AI offers data processing agreements ("DPAs") that provide additional commitments regarding data handling, sub-processing, data transfers, and breach notification. Contact us at ai@anedcenter.com to request a DPA.
• ANED AI does not sell your personal data to third parties. We may share data with trusted service providers who assist us in operating the Services, subject to appropriate confidentiality and data protection obligations.
• You have the right to access, correct, delete, or port your personal data in accordance with applicable law. To exercise these rights, contact us at ai@anedcenter.com.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall ANED AI, its directors, officers, employees, agents, affiliates, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to damages for loss of profits, revenue, goodwill, data, business opportunities, or other intangible losses, arising out of or in connection with your use of or inability to use the Services, even if ANED AI has been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, the total aggregate liability of ANED AI for all claims arising out of or relating to these Terms or your use of the Services shall not exceed the greater of: (a) the total fees paid by you to ANED AI in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred United States dollars (USD $100).

The Services, including all AI-generated outputs, are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, reliability, or non-infringement. ANED AI does not warrant that the outputs generated by the Services will be accurate, error-free, complete, or suitable for any particular purpose. You are solely responsible for evaluating and verifying the appropriateness of any output before relying upon it.

Nothing in these Terms shall exclude or limit liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

Governing Law

These Terms, and any disputes arising out of or in connection with them, including disputes relating to their existence, validity, interpretation, performance, breach, or termination, shall be governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of laws principles.

The courts located in Nairobi, Republic of Kenya, shall have exclusive jurisdiction over any legal proceedings arising out of or relating to these Terms, and you hereby consent to the personal jurisdiction and venue of such courts. This does not affect any mandatory consumer protection rights that may apply in your jurisdiction of residence.

If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be severed from these Terms and shall not affect the validity and enforceability of the remaining provisions, which shall continue in full force and effect.

Dispute Resolution

ANED AI is committed to resolving disputes fairly and efficiently. Before initiating any formal proceedings, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services through the following process:

Informal Resolution

You must first contact ANED AI in writing at ai@anedcenter.com with a detailed description of your dispute. ANED AI will endeavor to respond within fourteen (14) business days. Both parties agree to negotiate in good faith for a period of at least thirty (30) days from the date of the initial notice before pursuing any other form of dispute resolution.

Mediation

If the dispute cannot be resolved through informal negotiation, either party may refer the matter to mediation administered by the Nairobi Centre for International Arbitration (NCIA) or another mutually agreed-upon mediation provider. The costs of mediation shall be shared equally between the parties unless otherwise determined by the mediator.

Arbitration

If mediation does not resolve the dispute within sixty (60) days, either party may submit the dispute to binding arbitration administered by the Nairobi Centre for International Arbitration under its prevailing rules. The arbitration shall be conducted in English in Nairobi, Kenya, before a sole arbitrator appointed in accordance with the NCIA rules. The arbitrator's award shall be final and binding and may be enforced in any court of competent jurisdiction.

Class Action Waiver

To the extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action. If this class action waiver is found to be unenforceable, the entirety of this arbitration provision shall be null and void.

Termination

These Terms remain in effect until terminated by either you or ANED AI.

Termination by You

You may terminate your account and discontinue your use of the Services at any time by contacting us at ai@anedcenter.com or by using the account deletion functionality available in your account settings, where applicable. Termination does not relieve you of any obligation to pay outstanding fees incurred prior to the date of termination.

Termination by ANED AI

ANED AI may suspend or terminate your access to the Services, in whole or in part, at any time and for any reason, including but not limited to: (a) violation of these Terms, (b) non-payment of applicable fees, (c) conduct that we reasonably believe poses a risk to the security, integrity, or availability of the Services, (d) extended periods of account inactivity, or (e) compliance with legal or regulatory requirements. Where practicable, we will provide reasonable prior notice of termination, except where immediate action is necessary to prevent harm.

Effect of Termination

Upon termination, your right to access and use the Services shall immediately cease. ANED AI may delete your account data within a reasonable period following termination, subject to any applicable legal retention obligations. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to provisions relating to intellectual property, limitation of liability, indemnification, governing law, and dispute resolution.

Modifications

ANED AI reserves the right to modify, amend, or update these Terms at any time. When we make material changes, we will:

• Update the "Last Updated" date at the top of this page.
• Provide notice of the changes through one or more of the following means: a prominent notice on our website, an email notification to the address associated with your account, or an in-product notification within the Services.
• Where required by applicable law, provide at least thirty (30) days' advance notice before the revised Terms take effect.

Your continued use of the Services after the effective date of any revised Terms constitutes your acceptance of and agreement to the updated Terms. If you do not agree with the revised Terms, your sole remedy is to discontinue your use of the Services and terminate your account prior to the effective date of the changes.

ANED AI may also introduce supplemental terms, policies, or guidelines that apply to specific features, models, or programs (such as beta programs or enterprise agreements). Such supplemental terms will be presented to you at the time of access and are incorporated into these Terms by reference. In the event of a conflict between these Terms and any supplemental terms, the supplemental terms shall prevail with respect to the applicable feature or program.
